AI-Powered Products Addendum
This Addendum governs Customer’s installation and use of the AI Products listed in the Exhibits hereto. As referenced in an applicable SonarSource sales quotation, this Addendum is incorporated by reference into, and forms an integral part of, the Agreement between SonarSource and Customer. All capitalized terms used herein but not otherwise defined shall have the meanings given to them in the Agreement.
1. DEFINITIONS
“Addendum” means this AI-Powered Products Addendum, including all its Exhibits.
“Agreement” means the relevant SonarQube Server Terms and Conditions or the SonarCloud Terms of Service, as applicable, between Customer and SonarSource.
“AI Products” means the SonarSource software products identified in the Exhibits to this Addendum.
“AI Product License” means a separate, supplementary license or subscription right granted to Customer to use an AI Product solely in conjunction with an approved Sonar Offering. The AI Product License cannot operate independently of the corresponding Primary Usage Rights for the associated Sonar Offering.
“AI Technologies” refers to Large Language Models (e.g., Anthropic’s Opus) as well as any services that provide such technologies (e.g., Anthropic’s commercial APIs).
“Customer AI Technologies” means AI Technologies chosen, managed, and provided by the Customer for use with an AI Product.
“Input Data” means select portions of Customer’s source code and any other metadata transmitted to SonarSource through an AI Product for the purpose of generating Suggestions.
“Primary Usage Rights” means the License granted to Customer under the SonarQube Server Terms and Conditions or the license subscription plan granted to Customer under the SonarCloud Terms of Service, as applicable.
“Service Level Addendum” means the Service Level Addendum set forth on the following page of the Website: https://www.sonarsource.com/legal/sonarcloud/service-level-agreement/.
“Sonar Offering” means the Product (as defined in the SonarQube Server Terms and Conditions) or the Service (as defined in the SonarCloud Terms of Service), as applicable.
“Suggestions” means any code-fix suggestions, code edits, or other output generated by an AI Product processing Input Data.
"Train" means the use of Input Data to create, modify, or improve any AI Technology.
2. USAGE GRANT AND CONDITIONS OF USAGE
2.1. AI Product License Grant. Subject to the terms, conditions, and limitations of the Agreement and this Addendum, SonarSource grants Customer a worldwide, non-exclusive, non-transferable, non-sublicensable and revocable AI Product License: (i) for the use of the AI Products and Documentation with the Sonar Offering for which the AI Product License was purchased; (ii) to access, use, and distribute the Suggestions for Customer’s own internal software development purposes.
2.2. Usage Restrictions. Without limiting the applicable sections of the Agreements governing customer obligations and conditions of use, Customer must not: (i) modify, translate, reverse engineer, decompile, disassemble, create derivative works, or otherwise attempt to derive the source code (including prompts) of the AI Products; (ii) create, market, and/or distribute the AI Products as add-ons or enhancements, or incorporate the AI Products into another product; (iii) use the AI Products to store or transmit infringing, libelous, unlawful or tortious material, or to store or transmit material in violation of third party rights; (iv) use the AI Products to store or transmit malicious code, Trojan horses, malware, spam, viruses, or other destructive technology; (v) interfere with, impair, or disrupt the integrity or performance of the AI Products or any other third party’s use of them; (vi) access or use the AI Products in a manner that results in excessive use, bandwidth, or storage or harms their performance or security; (vii) alter, circumvent, or provide the means to alter or circumvent the Sonar Offering or the AI Products, including technical limitations, recurring fees, or usage limits; or (viii) perform or disclose any performance or vulnerability testing, password cracking, or remote access testing of the AI Products without SonarSource’s prior written approval.
3. INTELLECTUAL PROPERTY
3.1. Customer Data. As between the Customer and SonarSource, all right, title, and interest in and to Input Data, including all Intellectual Property rights therein, belong exclusively to Customer.
3.2. Data License. Customer grants to SonarSource the right to use such Input Data: (a) to provide the Customer with the AI Products, Documentation, Suggestions; and (b) to monitor, analyze, and improve the AI Products, except that SonarSource will not Train on the Input Data of Customers of SonarQube Cloud Enterprise or SonarQube Server, unless such Training is solely for the benefit of Customer.
3.3 AI-specific Intellectual Property. Except for the limited rights expressly granted by SonarSource to Customer in Section 2.1 above, all right, title, and interest in and to the AI Products, Documentation, and the AI Technologies, including all prompts, rules, processes, and related components developed or used by SonarSource, belong exclusively to SonarSource and/or its licensors. Customer owns all rights, title, and interest in any Suggestions once the Customer has incorporated such Suggestions into its project code.
3.4. Feedback. SonarSource is hereby granted a royalty-free, fully-paid, worldwide, exclusive, transferable, sub-licensable, irrevocable, and perpetual license to use or incorporate into its products and services any suggestions, enhancement requests, recommendations, or other feedback provided by Customer relating to the AI Products or Documentation.
4. AI TECHNOLOGY PROVISIONING
AI Products may utilize AI Technologies provided directly by SonarSource, by third parties, or by the Customer, as specified in the applicable Exhibit for each AI Product.
4.1. Sonar AI Technologies. Where an AI Product utilizes AI Technologies provided by a third party, SonarSource will endeavor to extend to Customer any benefits (including warranties and indemnities, if applicable) that SonarSource receives from such third-party providers. SonarSource's contracts with third-party AI Technology providers contain clauses prohibiting such providers from training on Input Data.
4.2. Customer AI Technologies. Where an AI Product permits Customer to use AI Technologies provided by the Customer or a third-party contracted with the Customer (“Customer AI Technologies”):
(a) Customer is responsible for ensuring compatibility of Customer AI Technologies with the AI Product, and for complying with all applicable terms of use, legal requirements, and any associated costs or licensing for such Customer AI Technologies;
(b) In addition to and without limiting other applicable disclaimers, SonarSource disclaims all liability for any issues arising from Customer’s use of Customer AI Technologies, including but not limited to compatibility, legal and regulatory compliance, and performance;
(c) Customer agrees to defend and indemnify SonarSource and its affiliates from any third-party claim arising out of or relating to Customer’s use of any Customer AI Technologies; and
(d) The AI Product may, as part of its normal operation, transmit SonarSource Confidential Information (such as prompts) to the Customer AI Technologies. Customer shall treat such transmissions (including any logging or other information recorded as part of the operation of the Customer AI Technologies) as SonarSource’s Confidential Information, consistent with Customer’s obligations under the Agreement.
5. CUSTOMER’S OBLIGATIONS & RESPONSIBILITIES
5.1. Nature of AI Output. Customer acknowledges that given the inherent characteristics and limitations of AI Technologies: (a) Suggestions may be the same as, or similar to, suggestions generated for other SonarSource customers or users; and (b) Suggestions may be incorrect, incomplete, or contain vulnerabilities.
5.2. Customer Responsibilities. Customer is responsible for: (a) independently reviewing, testing, and evaluating all Suggestions for accuracy, completeness, and security before relying on or otherwise using them; (b) ensuring that its use of any Suggestions does not infringe, violate, or misappropriate the intellectual property rights of any third party; and (c) complying with all laws and regulations governing the use of AI Technologies.
6. PERSONAL INFORMATION
The AI Products transmit Input Data to SonarSource’s or its third-party providers' cloud servers for analysis. Customer is solely responsible for ensuring that Input Data does not contain any Personal Data. The AI Products are not intended to process Personal Data. In the event that Personal Data is incidentally included in the Input Data, SonarSource will process such Personal Data in accordance with the Agreement.
7. SUPPORT AND SERVICE LEVEL
7.1. Support. If Customer purchased Support or are otherwise entitled to receive Support based on the license plan, SonarSource will provide Support for the AI Products in accordance with the Agreement.
7.2. Service. SonarSource will provide the AI Products’ network-dependent functionalities in accordance with the Service Level Agreement.
7. MODIFICATION TO THE SERVICE
SonarSource may make commercially reasonable updates or modifications to the AI Products from time to time to reflect changes in, among other things, laws, regulations, rules, technology, industry practices, patterns of system use, and availability of third-party services. SonarSource will provide advance notice of any such material updates or modifications that it reasonably believes are likely to materially degrade core features or functionalities of the AI Products.
8. GENERAL
Except as modified by this Addendum, the Agreement remains in full force and effect. SonarSource may modify this Addendum from time to time. SonarSource will notify Customer of any material modifications to this Addendum at least thirty (30) days prior to such modifications taking effect, either by posting a notice on the Website or by sending an email notice to Customer. Customer’s continued use of the AI Products and/or Support after thirty (30) days from such notice will constitute Customer’s acceptance of the modifications to this Addendum. In the event of any conflict between the terms of this Addendum and the Agreement, the terms of this Addendum shall prevail in connection with the AI Products.
EXHIBIT A: AI CODEFIX
This Exhibit forms part of the AI-Powered Products Addendum (the "Addendum") and sets forth terms specific to the AI CodeFix AI Product.
1. Definition and Scope. AI CodeFix is an AI Product that provides suggested code edits generated by AI Technologies to help developers fix issues in their code.
2. AI Technology Provision. Select tiers of the Sonar Offering may offer Customer the option to use Customer AI Technologies with AI CodeFix.
